S.AGRI.V.IT. S.r.l. with a sole shareholder (hereinafter \u201cSagrivit\u201d or the \u201cCompany\u201d) is a company with a long-standing tradition that has always guided its own conduct and that of its staff by the values of ethics, professional integrity and independence, acting in full compliance with applicable Italian and European Union law.<\/p>\n

Violations of laws, procedures and internal regulations are not tolerated. In addition to damaging the Company’s good name, they undermine public trust in Sagrivit.<\/p>\n

We therefore encourage our staff and third parties to report, without fear of retaliation, even potential breaches of laws, statutory requirements and the Company’s internal directives\/procedures through this channel, including anonymously.<\/p>\n

Set out below are the channels implemented locally by Sagrivit pursuant to Legislative Decree 24\/2023 (the \u201cWhistleblowing Decree\u201d), the requirements for making reports and the related protections.<\/p>\n

1. What is meant by a relevant violation under Legislative Decree 24\/2023?<\/strong><\/p>\n

A \u201creport\u201d means any news\/information concerning potential offences or otherwise unlawful conduct and, more generally, any behaviour, act or omission contrary to national or European Union regulatory provisions, to the provisions of the Model and the procedural corpus adopted by the Company, to the principles of Sagrivit’s Code of Ethics, as well as to the indications set out in the policies, however named, that harm the public interest or the integrity of the Company, of which the Reporting Person has become aware in the context of their work for Sagrivit.<\/p>\n

In particular, in accordance with the Whistleblowing Decree, the following are relevant for the purposes of a Report:<\/p>\n

  1. unlawful conduct relevant under Legislative Decree 231\/2001 (i.e.<\/em> constituting one or more offences within the catalogue of predicate offences giving rise to corporate liability), or constituting a violation of the requirements of the Model (i.e.<\/em> rules of conduct and\/or control principles set out in Sagrivit’s Model \u2013 as well as in the Company’s Code of Ethics and related procedural corpus \u2013 for the prevention of risks in one or more sensitive activities identified through risk mapping);<\/li>\n
  2. unlawful acts falling within the scope of European Union or national acts (including those implementing European Union law) relating to the sectors indicated in the Whistleblowing Decree (e.g. public procurement, prevention of money laundering and terrorist financing, product safety and compliance, consumer protection, protection of privacy and personal data, and security of network and information systems, etc.);<\/li>\n<\/ol>\n
